SpeciFire PN22 — Terms and Conditions of Use

Preamble — The "PN22" name and Practice Note 22

  1. The Service is named "PN22" because it is designed to assist users with documentation and coordination workflows relating to the subject matter of Practice Note 22 — Guidelines for Documenting Fire Safety Designs, first published in 2011 by Engineering New Zealand (formerly the Institution of Professional Engineers New Zealand, IPENZ) and also issued by the Ministry of Business, Innovation and Employment (MBIE, formerly the Department of Building and Housing) as guidance under section 175 of the Building Act 2004 (Practice Note 22).
  2. SpeciFire is an independent provider. The Service and SpeciFire are not affiliated with, associated with, endorsed by, approved by, authorised by, or produced in conjunction with Engineering New Zealand, MBIE, or any other body responsible for Practice Note 22. Any reference to "PN22", "Practice Note 22" or related terms is descriptive and referential only, used to identify the subject matter the Service is intended to assist with, and must not be taken to imply any such relationship or endorsement.
  3. The Service does not reproduce, supply, license or grant access to Practice Note 22 itself. You are responsible for obtaining, reading and relying on the current official version of Practice Note 22 directly from its publisher. Practice Note 22 may be amended, replaced or withdrawn from time to time, and SpeciFire does not warrant that the Service reflects, aligns with, complies with, or is current with any particular version of it.
  4. As Practice Note 22 itself records, it is not a substitute for professional or legal advice, is not an "Acceptable Solution" under the Building Act 2004, and should not be relied on as establishing compliance with the New Zealand Building Code. The Service — which is only a tool to assist with documentation and coordination — does none of those things either, and clause 4 (Nature of the Service) applies in full.

1. About these Terms

  • 1.1 These Terms and Conditions of Use (Terms) govern your access to and use of the SpeciFire PN22 platform, including any associated software, tools, templates, content, outputs and services (together, the Service).
  • 1.2 The Service is provided by SpeciFire Technology Limited, a company incorporated in New Zealand (SpeciFire, we, us, our). References to you or the User mean the person or organisation accessing or using the Service, and any individual you authorise to do so on your behalf.
  • 1.3 By creating an account, ticking to accept these Terms, or accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
  • 1.4 If you accept these Terms on behalf of an organisation, you warrant that you are authorised to bind that organisation, and "you" includes that organisation.

2. Definitions

In these Terms, unless the context requires otherwise:

  • Beta / Soft Launch means an early-release phase in which the Service is provided for evaluation and may be incomplete, subject to change, or withdrawn.
  • Content means any data, files, drawings, schedules, specifications, photographs, text or other material you upload to, input into, or generate using the Service.
  • In Trade has the meaning given in the Fair Trading Act 1986.
  • Intellectual Property Rights means all intellectual property rights of any kind, including copyright, patents, trade marks, designs, trade secrets, know-how and rights in software, whether registered or unregistered.
  • Outputs means any reports, schedules, documents, coordination records, exports or other material produced by the Service from your Content or inputs.
  • PN22 means the SpeciFire coordination and documentation tool to which these Terms relate (and any successor or related modules). "PN22" is a SpeciFire product name; it is named with reference to Practice Note 22 but is independent of it, as set out in the Preamble.
  • Practice Note 22 has the meaning given in the Preamble.

3. Eligibility — business and professional use only

  • 3.1 The Service is intended and made available solely for use by businesses, professionals and organisations In Trade in connection with their trade, profession or business.
  • 3.2 The Service is not offered to, or intended for, consumers acquiring it for personal, domestic or household use. By using the Service you confirm that you are acquiring and using it In Trade and for business purposes.
  • 3.3 You confirm that you (and any individual you authorise) hold, or are working under the supervision of those who hold, the qualifications, licences, registrations and competencies appropriate to the tasks for which you use the Service.

4. The nature of the Service — what PN22 is, and what it is not

  • 4.1 The Service is a documentation, coordination, information-management and productivity tool. It is designed to help you organise, record, structure and communicate information relating to passive fire protection work.
  • 4.2 The Service does not provide professional advice or services. Without limitation, the Service does not:
    1. provide fire engineering, design, building, surveying, certification or any other professional advice, opinion or service;
    2. constitute, replace or substitute for the professional judgment of a fire engineer, licensed building practitioner, designer, certifier, inspector or any other qualified professional;
    3. issue, prepare or endorse producer statements (including PS1, PS3 or PS4), design certificates, compliance certificates, or any statutory or regulatory document;
    4. verify, determine, warrant or certify compliance with any law, standard, code or regulatory requirement, including the Building Act 2004, the New Zealand Building Code, C/AS2, AS 1530.4, AS 1905.1, NZS 3404 or any other instrument; or
    5. inspect, test, assess or approve any building, product, installation or work.
  • 4.3 The Service is a tool, not a decision-maker. Any Outputs are generated from, and are only as accurate, complete and reliable as, the Content and inputs you provide. The Service does not independently verify the accuracy, completeness, suitability or compliance of any Content or Output.
  • 4.4 You acknowledge that responsibility for all professional judgments, design decisions, compliance determinations, certifications, producer statements, inspections and sign-offs rests entirely with you and your appropriately qualified personnel, and not with SpeciFire or the Service.

5. Your responsibilities

  • 5.1 You are solely responsible for:
    1. the accuracy, completeness, currency and legality of all Content and inputs you provide;
    2. independently reviewing, checking and verifying every Output before relying on, distributing, submitting or acting on it;
    3. ensuring that any use of the Service and any Output complies with all applicable laws, standards, codes, consents and contractual obligations;
    4. obtaining and relying on the advice, design, certification and sign-off of appropriately qualified, licensed and (where required) registered professionals; and
    5. maintaining the security of your account credentials and all activity under your account.
  • 5.2 You must not use the Service for any unlawful, misleading or improper purpose, or in any way that suggests an Output carries SpeciFire's professional endorsement, certification or compliance approval (because it does not).
  • 5.3 You acknowledge that you do not rely, and it is not reasonable to rely, on the Service or any Output as a source of professional advice or as confirmation of regulatory compliance.

6. Soft Launch / Beta status

  • 6.1 The Service is provided during a Soft Launch / Beta phase. It may contain errors, defects or incomplete features, may not operate continuously, and may be modified, suspended or withdrawn at any time without notice.
  • 6.2 You accept the increased risks of using early-release software and agree that the Service is provided on an evaluation basis. You must apply additional care and verification to any use of the Service and any Output during this phase.

7. Licence to use

  • 7.1 Subject to these Terms, SpeciFire grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes for the duration of your access.
  • 7.2 You must not (and must not permit any third party to): copy, modify, reverse-engineer, decompile, resell, sublicense, or create derivative works from the Service; access it to build a competing product; or remove any proprietary notices.

8. Intellectual property

  • 8.1 All Intellectual Property Rights in and to the Service, including the PN22 platform, its software, design, structure, templates and underlying systems, are owned by SpeciFire and/or its licensor [Negentropy Limited], and nothing in these Terms transfers any of those rights to you.
  • 8.2 You retain ownership of your Content. You grant SpeciFire a non-exclusive, royalty-free licence to host, store, process, display and use your Content to the extent necessary to provide, maintain, secure and improve the Service.
  • 8.3 You may use Outputs for your own business purposes, subject to your obligations under these Terms (including your sole responsibility for verifying them).

9. Your data and privacy

  • 9.1 SpeciFire will handle personal information in accordance with the Privacy Act 2020 and its privacy policy.
  • 9.2 You are responsible for ensuring you have the right to provide any Content (including any personal information or third-party material) to the Service, and for complying with your own privacy and confidentiality obligations.
  • 9.3 You are responsible for keeping your own backups of important Content. SpeciFire is not a record-keeping or document-retention service of record.

10. Fees

  • 10.1 Fees. The fees for the Service are as advertised or otherwise notified by SpeciFire from time to time, and/or as set out for the subscription level or plan you select. By selecting or continuing a subscription level, you agree to pay the applicable fees for that level.
  • 10.2 Changes to fees. Fees may be subject to change. SpeciFire will publish or notify the updated fees, and any change will take effect from the start of your next billing period (or as otherwise notified). Your continued use of the Service after a fee change takes effect constitutes acceptance of the updated fees. If you do not accept a change, your remedy is to cancel before it takes effect.
  • 10.3 Billing and payment. Unless otherwise stated for your subscription level, fees are payable monthly, in advance, according to the subscription level you have selected. You authorise SpeciFire (and its payment provider) to charge your nominated payment method for all applicable fees as they fall due.
  • 10.4 GST and currency. Unless stated otherwise, all fees are in New Zealand dollars and are exclusive of GST and any other applicable taxes, which (if exclusive) are payable by you in addition.
  • 10.5 Late or failed payment. If any payment is overdue or a payment fails, SpeciFire may suspend or restrict your access to the Service until payment is received, without liability to you.
  • 10.6 No refunds. Except where required by law, fees already paid are non-refundable, including for any unused portion of a subscription period.

11. Availability and changes

  • 11.1 SpeciFire does not warrant that the Service will be uninterrupted, error-free, secure, or available at any particular time. We may perform maintenance, update, change or discontinue features at any time.
  • 11.2 SpeciFire may modify or remove any feature, and may impose limits on use, without liability to you.

12. Disclaimer of warranties

  • 12.1 To the maximum extent permitted by law, the Service and all Outputs are provided "as is" and "as available", with all faults, and without warranties, guarantees or representations of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, reliability, or non-infringement.
  • 12.2 SpeciFire does not warrant that the Service or any Output is accurate, complete, current, fit for any purpose, or compliant with any law, standard or code.
  • 12.3 Contracting out of the Consumer Guarantees Act 1993. You acknowledge that you acquire the Service In Trade for business purposes. Accordingly, the parties agree that the guarantees and provisions of the Consumer Guarantees Act 1993 do not apply to the supply of the Service, and the parties agree that it is fair and reasonable to be bound by this clause.

13. Limitation and exclusion of liability

  • 13.1 No liability for errors, omissions or non-compliance. To the maximum extent permitted by law, SpeciFire is not liable for any error, omission, defect, inaccuracy, incompleteness, delay, failure, non-compliance, or any loss or damage of any kind arising directly or indirectly from:
    1. your use of, or inability to use, the Service;
    2. any Content or input provided to the Service;
    3. any Output, or any reliance on or use of any Output;
    4. any professional, design, compliance, certification or other decision made by you or any third party; or
    5. any act or omission of any professional, contractor or third party engaged by you.
  • 13.2 Exclusion of indirect loss. To the maximum extent permitted by law, SpeciFire is not liable for any indirect, consequential, special or incidental loss, or for any loss of profit, revenue, savings, business, contract, goodwill, data, or opportunity, however arising, whether in contract, tort (including negligence), equity, statute or otherwise.
  • 13.3 Cap on liability. To the maximum extent permitted by law, SpeciFire's total aggregate liability to you under or in connection with these Terms and the Service, from all causes combined, is limited to [the total fees paid by you to SpeciFire for the Service in the 12 months preceding the event giving rise to the claim / NZ$100, whichever you prefer]. Where the Service is provided free of charge, this cap is [NZ$100].
  • 13.4 Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.
  • 13.5 You acknowledge that the allocation of risk in these Terms (including the disclaimers, exclusions and limitations) is reasonable given the nature of the Service, the price (if any) at which it is supplied, and your sole responsibility for professional verification and compliance.

14. Fair Trading Act 1986 — contracting out (business users)

  • 14.1 You acknowledge that you and SpeciFire are each In Trade, that the Service is supplied and acquired In Trade, and that it is fair and reasonable that the parties be bound by this clause.
  • 14.2 To the maximum extent permitted by section 5D of the Fair Trading Act 1986, the parties agree that sections 9, 12A, 13 and 14(1) of that Act do not apply to the supply of the Service or to any dealings between the parties in relation to it.

15. Indemnity

  • 15.1 You indemnify SpeciFire (and its directors, officers, employees and related companies) against all loss, damage, cost, expense (including reasonable legal costs), liability and claims arising out of or in connection with:
    1. your use of the Service or any Output;
    2. any Content or input you provide;
    3. your breach of these Terms or of any law; or
    4. any claim by a third party (including any client, contractor, regulator or other party) relating to your use of the Service, any Output, or any work, design, certification or compliance outcome connected with it.

16. Suspension and termination

  • 16.1 You may stop using the Service and close your account at any time.
  • 16.2 SpeciFire may suspend or terminate your access at any time, with or without notice, including where you breach these Terms or where SpeciFire ceases to offer the Service.
  • 16.3 Clauses relating to intellectual property, disclaimers, limitation and exclusion of liability, indemnity, confidentiality and governing law survive termination.

17. Confidentiality

  • 17.1 Each party must keep confidential any non-public information of the other party disclosed in connection with the Service, and use it only for the purposes of these Terms, except where disclosure is required by law.

18. Force majeure

  • 18.1 SpeciFire is not liable for any failure or delay caused by events beyond its reasonable control, including network or infrastructure failures, acts of God, natural disaster, or actions of third-party providers.

19. Changes to these Terms

  • 19.1 SpeciFire may update these Terms from time to time. We will make the updated Terms available, and where the change is material we will take reasonable steps to notify you. Your continued use of the Service after the change takes effect constitutes acceptance of the updated Terms.

20. General

  • 20.1 Assignment. You may not assign or transfer your rights under these Terms without SpeciFire's prior written consent. SpeciFire may assign or transfer its rights and obligations.
  • 20.2 Entire agreement. These Terms (together with any policy expressly incorporated by reference) constitute the entire agreement between the parties regarding the Service and supersede all prior representations and agreements.
  • 20.3 No reliance. You acknowledge that you have not relied on any representation, statement or warranty not expressly set out in these Terms.
  • 20.4 Severability. If any provision is held invalid or unenforceable, it is to be read down or severed to the minimum extent necessary, and the remaining provisions continue in force.
  • 20.5 Waiver. A failure or delay by SpeciFire in exercising any right is not a waiver of that right.
  • 20.6 Notices. Notices to SpeciFire may be sent to communications@specifire.co.nz. Notices to you may be sent to the contact details associated with your account.

21. Governing law and jurisdiction

  • 21.1 These Terms are governed by the laws of New Zealand, and the parties submit to the exclusive jurisdiction of the New Zealand courts.

22. Acknowledgement (sign-up confirmation)

I confirm that I am accessing the SpeciFire PN22 Service In Trade for business purposes. I have read and agree to the Terms and Conditions of Use. I understand that the Service is a documentation and coordination tool only; that it does not provide professional, fire engineering, design, certification or compliance advice; and that I (and my qualified professionals) remain solely responsible for verifying all outputs and for all professional and compliance decisions.
